JOB RESPONSIBILITIES:
- Reviewing and drafting of corporate, finance, commercial agreements including but not limited to SPA, SHA, option agreements, loan agreements, pledge agreement, security agreements, etc;
- Consult and handle all corporate legal processes (intellectual property, mergers & acquisitions, financial/securities offerings, compliance issues, transactions etc;)
- Guide the corporate administrators and ensure compliance with rules and regulations;
- Structure, draft and review reports and other legal documents;
- High level corporate international structuring;
- Assisting/Guiding the corporate administrators team with the incorporation and day-to-day management of legal entities in Cyprus and foreign jurisdictions;
- Liaising with clients, other professional advisers and public/regulatory authorities;
- Assisting with client due diligence for corporate and trust structures;
- Communicating with clients to receive or provide information required to complete all necessary work in relation to the Legal Department;
- Submissions of applications to Court/ I-Justice;
- Performing legal research and preparing relevant reports;
- Consulting with clients.
QUALIFICATIONS:
- Minimum 5 years of proven experience as a Corporate Lawyer is mandatory;
- University Degree in Law (LLB);
- Cyprus Bar Exams (or similar qualifications) and LLM in Corporate / Commercial Law shall be considered an advantage;
- Excellent knowledge of written and spoken English and Greek;
- Highly organized individual who is willing to meet tight deadlines, multitask and work in a challenging work environment;
- Strong client orientation - a "client first" culture.
